This agreement governs the relationship between Local Shop Host (operated by Solutions Codexalia Inc.) and any person (the "Affiliate") who registers for the affiliate program to refer new customers in exchange for commission.
The Affiliate receives a commission on the subscriptions of customers they refer directly (Direct Customer), as well as reduced commissions on customers referred by affiliates they have personally recruited (Level 1 and Level 2), provided they have personally referred a minimum number of paying customers.
The commission applies to every subscription payment made by the customer, for as long as the customer remains subscribed. It is calculated on the amount actually paid by the customer, before taxes, converted to Canadian dollars. No commission is paid on a customer who signed up with a coupon that excludes affiliate commissions.
Exact rates are shown in the affiliate dashboard. Local Shop Host may change them: a rate change is announced to the Affiliate by email at least 30 days before its effective date, and applies only to payments received from that date onward. Commissions already earned are never changed.
A customer is attributed to the Affiliate if the customer signs up within 365 days of clicking the Affiliate's referral link, from the same browser. If the customer clicked the links of several affiliates, the customer is attributed to the affiliate whose link was clicked last. A customer who clears their browser cookies or signs up from another device may not be attributed; Local Shop Host is not responsible for an attribution made impossible for these reasons.
A commission becomes available 35 days after the customer payment on which it is calculated, once the 30-day refund period has passed. Available commissions are paid through Wise, to an account set up by the Affiliate, as soon as their total reaches at least $50 CAD. A commission is cancelled in full if the payment on which it is calculated is refunded, in whole or in part; if it had already been paid, its amount is deducted from later payouts. Local Shop Host is not responsible for delays or fees imposed by Wise.
No commission is paid on a free period. When a referred customer signs up with free months (promotional offer or coupon), the Affiliate's first commission on that customer is calculated on the customer's first actual payment and becomes available 35 days after that payment. For example, with 3 free months on a monthly plan, the first payment takes place at the start of the 4th month, and the commission becomes available about 35 days later, at the start of the 5th month. Later payments follow the same rule.
Commissions are calculated in Canadian dollars (CAD). Payouts are made in CAD or USD, at the Affiliate's choice, at the day's rate when paid. A payout to an account in another currency (for example euros) is converted by Wise and the conversion fees are deducted from the amount paid. Any further conversion applied by the Affiliate's bank is at their expense.
Self-referral (the Affiliate referring themselves through a second account), fraud, spam, and any misleading representation of the program are strictly prohibited and may result in account suspension and loss of unpaid commissions.
A customer who is the Affiliate themselves, or a person subscribing on the Affiliate's behalf, is never attributed to the Affiliate: the customer's subscription works normally, but it earns no commission. Local Shop Host identifies these cases from the information provided at sign-up and any other available information, and notifies the Affiliate. A commission already created or paid for such a customer is cancelled, or deducted from later payouts.
Local Shop Host may suspend or terminate affiliate status at any time in the event of a breach of this agreement. The Affiliate may stop participating at any time; commissions already earned and not disputed remain payable.
The Affiliate acts as an independent contractor, and not as an employee, agent or partner of Solutions Codexalia Inc. The Affiliate is solely responsible for reporting their commission income and paying any applicable income taxes and sales taxes.
Local Shop Host may change this agreement. Any change is announced to the Affiliate by email at least 30 days before it takes effect, and the update date at the top of the agreement is changed. An Affiliate who does not accept the change may stop participating before that date; their commissions already earned remain payable. Continuing to participate in the program after that date constitutes acceptance of the amended agreement.
This agreement is governed by the laws of the province of Quebec and applicable federal laws of Canada.
